Acceptance of Terms

Welcome to Nutika AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nutika AI ("we," "us," or "our") regarding your use of our mobile application and web service (the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

Description of Service

Nutika AI provides AI-powered nutrition analysis and tracking services including:

Food image recognition and analysis using AI service providers (e.g., Google Gemini and OpenAI)
Nutritional information and dietary recommendations
Meal tracking and nutrition history
Personalized health and nutrition insights
Premium subscription features and content

User Accounts

Account Creation

You must provide accurate and complete information when creating an account
You are responsible for maintaining the confidentiality of your account credentials
You must be at least 13 years old to create an account
One person may not maintain multiple accounts
You are responsible for all activities that occur under your account

Account Security

You must notify us immediately of any unauthorized use of your account
We are not liable for any loss or damage arising from your failure to protect your account
We reserve the right to suspend or terminate accounts that violate these Terms
You may delete your account at any time through the app settings

Acceptable Use

Permitted Uses

You may use the Service to:

Analyze food images for nutritional information
Track your meals and dietary intake
Receive personalized nutrition recommendations
Access premium features if subscribed

Prohibited Uses

You may not use the Service to:

Upload inappropriate, offensive, or copyrighted images
Attempt to reverse engineer or hack the Service
Use the Service for commercial purposes without authorization
Violate any applicable laws or regulations
Harass, abuse, or harm other users
Distribute malware or harmful code
Create false or misleading nutrition information

Intellectual Property

Our Content

The Service and all content, features, and functionality are owned by Nutika AI
This includes but is not limited to software, text, images, graphics, logos, and trademarks
You may not copy, modify, distribute, or create derivative works without permission
All AI-generated nutrition analysis results remain our intellectual property

User Content

You retain rights to images and data you upload to the Service
By uploading content, you grant us a license to use it for Service provision and improvement
You represent that you have the right to upload and use all submitted content
We may remove content that violates these Terms or applicable laws

Third-Party Content

The Service may include content from third parties, including AI service providers
Third-party content is subject to respective owners’ terms and conditions
We do not guarantee the accuracy or reliability of third-party content

Subscription Services

Premium Features

Premium subscriptions provide access to:

Advanced nutrition analysis and insights
Extended meal history and tracking
Personalized meal planning recommendations
Priority customer support
Ad-free experience

Billing and Payment

Subscription fees are charged in advance on a recurring basis
Payment may be processed through Apple App Store or Google Play Store (mobile), or through Stripe (web), depending on where you purchase
Subscription pricing is displayed before purchase and may vary by region
All fees are non-refundable except as required by law
We reserve the right to modify subscription pricing with notice

Subscription Management

You can manage your mobile subscription through your device’s app store settings
Subscriptions automatically renew. Cancel at least 24 hours before the renewal date to avoid charges.
iOS: Settings → Subscriptions • Android: Google Play Store → Subscriptions
Cancellation takes effect at the end of the current billing period
You retain access to premium features until the subscription expires
Refunds follow Apple’s and Google’s respective refund policies (for mobile purchases)

Free Trial

New users may be eligible for a free trial of premium features
Free trials automatically convert to paid subscriptions unless cancelled
Only one free trial per user is permitted
Free trial terms may vary and are displayed at signup

Apple App Store

If you access the Service through the Apple App Store, you acknowledge and agree that: Apple Inc. is not a party to these Terms and has no obligation whatsoever to furnish any maintenance or support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if applicable). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App.

Data and Privacy

Information Collection

We collect and use your information as described in our Privacy Policy
By using the Service, you consent to such collection and use
We implement reasonable security measures to protect your data
You may request deletion of your data as described in the Privacy Policy

AI Processing

Food images may be processed by AI service providers for nutrition analysis
Third-party providers’ privacy policies apply to this processing
We do not control how third-party providers process your images
Analysis results are stored in our secure database for your use

Accuracy Disclaimer

Nutrition information is generated by AI and may contain errors
We do not guarantee the accuracy, completeness, or reliability of nutrition data
Individual nutritional needs vary and require professional assessment
Do not rely solely on our Service for medical or dietary decisions

Health Conditions

If you have any health conditions, allergies, or dietary restrictions:

Consult healthcare professionals before using nutrition recommendations
Do not use the Service as a substitute for professional medical care
Inform your healthcare providers about your use of nutrition tracking apps
Discontinue use if you experience any adverse effects

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND:

We disclaim all warranties, express or implied, including merchantability and fitness for purpose
We do not warrant that the Service will be uninterrupted or error-free
We do not guarantee the accuracy of nutrition information or AI analysis
Your use of the Service is at your own risk

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability for any claims arising from these Terms is limited to the amount paid by you in the 12 months preceding the claim
We are not liable for indirect, incidental, punitive, or consequential damages
We are not liable for damages arising from your use of nutrition information
Some jurisdictions do not allow liability limitations, so these may not apply to you

Indemnification

You agree to indemnify and hold harmless Nutika AI and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you upload or share through the Service

Modifications to Service and Terms

Service Changes

We may modify, suspend, or discontinue the Service at any time
We may add or remove features with or without notice
We strive to provide advance notice of significant changes
Continued use after changes constitutes acceptance

Terms Changes

These Terms may be updated periodically
Material changes will be communicated via email or in-app notification
Updated Terms become effective immediately upon posting
Your continued use indicates acceptance of revised Terms

Termination

Termination by You

You may terminate your account at any time through app settings
Cancelling subscriptions does not automatically delete your account
Account deletion permanently removes your data (subject to legal requirements)

Termination by Us

We may terminate your account if you:

Violate these Terms or our policies
Engage in fraudulent or harmful activities
Fail to pay subscription fees
Request termination or deletion

Effects of Termination

Upon termination:

Your access to the Service immediately ceases
Your data will be deleted in accordance with our Privacy Policy
Outstanding payment obligations remain due
Provisions that should survive termination will remain in effect

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

Dispute Resolution

Any disputes will first be addressed through good faith negotiation
If negotiation fails, disputes will be resolved through binding arbitration
Arbitration will be conducted under the Ontario Arbitration Act and the Rules of the ADR Institute of Ontario
Each party bears their own costs unless otherwise determined by the arbitrator

Class Action Waiver

You agree that any arbitration or legal proceeding will be conducted on an individual basis only. You waive any right to participate in class actions or representative proceedings.

Exceptions

The following disputes are not subject to arbitration:

Intellectual property disputes
Small claims court actions
Emergency injunctive relief

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nutika AI regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
